\n\t

\u00a7\u00a01\u00a0Application<\/h4>\n

(1)\u00a0These terms and conditions of sale shall apply exclusively. Differing or contrary terms shall not apply except if expressly agreed upon in writing.<\/p>\n

(2)\u00a0These terms and conditions of sale shall also govern all future transactions between the parties and shall also apply if we perform delivery despite our knowledge of differing or contrary terms.<\/p>\n

(3)\u00a0These terms and conditions of sale shall only apply vis \u00e1 vis entrepreneurs, governmental entities, or special governmental estates within the meaning of sec. 310 para. 1 BGB (German Civil Code).<\/p>\n<\/div>\n<\/div><\/div><\/div>

\u00a7\u00a02\u00a0Offer, Acceptance<\/h4>\n

Insofar as the order constitutes an offer within the meaning of \u00a7\u00a0145 BGB we are entitled to accept the offer within two weeks.<\/p>\n

\u00a7\u00a03 Prices, Payment<\/h4>\n

(1)\u00a0Prices are ex works, exclusive of the respective statutory VAT and exclusive of costs for packaging, except as otherwise expressly agreed upon.<\/p>\n

(2)\u00a0The purchase price is due and payable net within 30 days from the date of the invoice. From the due date default interest in the amount of 8 % above the respective base interest rate p.\u00a0a. shall accrue. We reserve all rights to claim further damages for delay.<\/p>\n

\n\t

\u00a7\u00a04\u00a0Offset, Right to Retain<\/h4>\n

The purchaser shall be entitled to offset only insofar as the purchaser\u2019s counterclaim is acknowledged, undisputed or assessed in a legally binding judgement. The purchaser is entitled to claim retainer rights only to the extent such rights are based on the same transaction.<\/p>\n<\/div>\n<\/div><\/div><\/div><\/div><\/div>

\u00a7\u00a05\u00a0Delivery<\/h4>\n

(1)\u00a0Delivery is conditioned upon timely and proper performance of all duties of the purchaser. Defences based on non-performance of the contract are reserved.<\/p>\n

(2)\u00a0In case of default in acceptance or other breach of duties to cooperate by the purchaser we are entitled to claim any resulting damage including but not limited to additional expenses, if any. Further damages are reserved. In this case, the risk of loss or damage to the goods passes to the purchaser at the time of such default or breach of duty to cooperate.<\/p>\n

\n\t

\u00a7\u00a06\u00a0Passing of Risk, Shipment<\/h4>\n

If the purchaser demands shipment of the goods the risk of loss or damage to the goods passes to the purchaser upon dispatch.<\/p>\n<\/div>\n<\/div><\/div><\/div><\/div><\/div>

\n\t

\u00a7\u00a07\u00a0Retention of Title<\/h4>\n

(1)\u00a0We retain title to the goods until receipt of all payments in full. In case of breach of contract by the purchaser including, without limitation, default in payment, we are entitled to take possession of the goods.<\/p>\n

(2)\u00a0The purchaser shall handle the goods with due care, maintain suitable insurance for the goods and, to the extent necessary, service and maintain the goods.<\/p>\n

(3)\u00a0As long as the purchase price has not been completely paid, the purchaser shall immediately inform us in writing if the goods become subject to rights of third persons or other encumbrances.<\/p>\n

(4)\u00a0The purchaser may resell goods subject to the above retention of title only in the course of his regular business. For this case, the purchaser hereby assigns all claims arising out of such resale, whether the goods have been processed or not, to us. Notwithstanding our right to claim direct payment the purchaser shall be entitled to receive the payment on the assigned claims. To this end, we agree to not demand payment on the assigned claims to the extent the purchaser complies with all his obligations for payment and does not become subject to an application for insolvency or similar proceedings or to any stay of payments.<\/p>\n

(5)\u00a0Insofar as the above securities exceed the secured claim by more than 10 %, we are obligated, upon our election, to release such securities upon the purchaser\u2019s request.<\/p>\n

\u00a0<\/h4>\n<\/div>\n<\/div><\/div><\/div>

\n\t

\u00a7\u00a08\u00a0Warranty<\/h4>\n

(1)\u00a0Precondition for any warranty claim of the purchaser is the purchaser\u2019s full compliance with all requirements regarding inspection and objection established by sec. 377 HGB (German Commercial Code).<\/p>\n

(2)\u00a0Warranty claims shall be time-barred after 12 months of the passage of risk.<\/p>\n

(3)\u00a0In case of non-conformity of the goods the purchaser is entitled to alternative performance in the form of subsequent improvement or delivery of conforming goods. If such alternative performance has failed, the purchaser is entitled to reduce the purchase price or to withdraw from the contract.<\/p>\n<\/div>\n<\/div><\/div><\/div><\/div><\/div><\/div>

\n\t

\u00a7\u00a09\u00a0Liability<\/h4>\n

(1)\u00a0In case of intent or gross negligence on our part or by our agents or assistants in performance we are liable according to the provisions of applicable law; the same applies in case of breach of fundamental contract obligations. To the extent the breach of contract is unintentionally our liability for damages shall be limited to the typically predictable damage.<\/p>\n

(2)\u00a0Our liability for culpable damage to life, body or health as well as our liability under the Product Liability Act shall remain unaffected.<\/p>\n

(3)\u00a0Any liability not expressly provided for above shall be disclaimed.<\/p>\n

\n\t

\u00a7\u00a010 Applicable law, Jurisdiction<\/h4>\n

(1)\u00a0This contract shall be governed by the laws of the Federal Republic of Germany (excluding the Convention on Contracts for the International Sale of Goods).<\/p>\n

(2)\u00a0Place of performance and exclusive place of jurisdiction for all disputes arising out of or in connection with this contract shall be Bretten.<\/p>\n

(3) This text shall be governed by and construed in accordance with the laws of Germany.<\/p>\n<\/div>\n<\/div><\/div><\/div><\/div><\/div>

(1)\u00a0Prices include delivery to our facilities, the respective statutory VAT and any and all costs for packaging, except as otherwise expressly agreed upon.<\/p>\n

(2)\u00a0The purchase price is due and payable within 14 days from receipt of the proper invoice with a 2 % discount or net within 30 days from receipt of the proper invoice.<\/p>\n

\u00a7\u00a04\u00a0Offset, Retainer<\/h4>\n

We reserve all rights to offset or retain payment provided by applicable law.<\/p>\n

\u00a7\u00a05\u00a0Delivery<\/h4>\n

(1)\u00a0All delivery dates stated in the order or otherwise agreed upon are binding.<\/p>\n

(2)\u00a0The seller shall immediately inform us of any threatening or existing delay in delivery, the reasons for such delay and the anticipated duration of such delay. The foregoing shall not affect the occurrence of a default in delivery.<\/p>\n

(3)\u00a0In case of default in delivery we reserve all rights under applicable law.<\/p>\n

\n\t

\u00a7\u00a06\u00a0Passing of Risk, Shipment<\/h4>\n

The risk of loss or damage to the goods passes to us upon delivery at the agreed place of delivery.<\/p>\n

\n\t

\u00a7\u00a07\u00a0Liability, Warranty<\/h4>\n

(1)\u00a0We reserve all rights and remedies for non-conformity provided by applicable law. We are especially entitled, upon our election, to claim remedy of defects, redelivery of conforming goods, and damages.<\/p>\n

(2)\u00a0In case of imminent danger we are entitled, after giving notice to the seller, to remedy the defects at the seller\u2019s cost.<\/p>\n

(3)\u00a0Warranty claims shall be time-barred after 36 month of the passage of risk.<\/p>\n

\u00a0<\/p>\n<\/div>\n<\/div><\/div><\/div>

\n\t

\u00a7\u00a08 Product Liability, Insurance<\/h4>\n

(1)\u00a0The seller shall, upon first demand, indemnify us and hold us harmless from and against any and all liability or claims of third parties based on the manufacture, delivery, storage, or use of the delivered goods. The above indemnification shall not apply if the claim is based on our intentional or grossly negligent breach of duties.<\/p>\n

(2)\u00a0The seller shall, at all times during the term of this contract, maintain product liability insurance with an adequate minimum insurance amount of [??] for each single occurrence of personal and property damage. Further damages shall remain unaffected.<\/p>\n

\n\t

\u00a7\u00a09\u00a0Warranty of Title<\/h4>\n

(1)\u00a0The seller warrants that the goods are free from rights of third parties and that delivery of the goods does not violate any rights of third parties. The seller shall indemnify us, upon first demand, from any claims of third parties in this regard.<\/p>\n

(2)\u00a0Claims based on defect in title shall be time-barred pursuant to \u00a7\u00a07 (3) above.<\/p>\n
